本着互利互惠、共同开展的原那么，经充分协商，各签字方决定共同投资经营山叶茶居茶楼，特订立本协议：
1、投资企业名称：山叶茶居 地址：巴州区档案局综合楼二楼
2、核算方式：共同经营、统一核算、共负盈亏
3、投资方式:联合均摊现金出资〔包含茶楼门市租金、装修设施设备采购、日常经营等费用〕，现定每股东 万元〔缺乏局部各投资人再均摊，结余局部作为储藏金〕
4、投资期限：本协议签订之日至 年 月 日止。
5、茶楼财产为全体投资人共有，任何一方未经其余投资人研究统一，不得处分茶楼的全部或任何局部财产、资产、权益和效劳。
6、投资人的出资额及其因参与本投资获得之权益三年内不得转让，六年期内不得转让给原始投资人的外来投资人。三年后如转让，必须经全部股东举手表决，在同等价格内有限转让给原始投资人。

8、利润分配及风险承当：⑴各方按出资比例分配利润及承当经营风险。⑵本茶楼如有意外风险，应由全部股东承当并出面解决。⑶因超越权限的行为所产生的民事责任那么因实施行为的合伙人个人承当。⑷在执行合伙业务过程中，致使他人遭受人身伤害或者财产损失的，由全体合伙人承当连带责任。⑸合伙人财产在普通合伙清算前不得分割。
9、茶楼的经营管理与制度
⑴本茶楼由投资人 负责日常的经营管理，重大的决策〔储藏金提留、人事任免、设施设备采购等〕共同商讨，由 实施执行。
⑵本茶楼资金、物品及账目受投资人定期检查，茶楼负责人每日必须建立详细的财务。
⑶经过协商：由 担负会计和库管职能，负责货品的采购按会计规那么记录现金开支情况、结余情况，做好会计账。 履行出纳的职能，管理缴付的合伙经营金， 在收到其它各方缴纳的股金时，应出具收款收条；在开支方面：因企业需要支出，要提前通知全股东，被通知的人应当在发票上签注开支是否属实。
10、合伙人有以下情形之一的，经其他合伙人一致同意，可以决议将其除名：⑴未履行出资义务；⑵因成心或者重大过失给合伙企业

11、合伙企业的解散、清算
合伙企业的解散、清算由全体合伙人协商决定。
12、违约责任
合伙人违反本协议的，应支付投资份额30%的违约金并赔偿因违约而造成的经济损失。
13、其他规定
⑴当合伙人执行本协议发生纠纷时，可以通过协商或调解解决，合伙人不愿意通过协商、调解解决或者协商调解不成的，可以向人民法院起诉。
⑵本合伙协议经全体合伙人签名、盖章后生效，各合伙人各执一份，登记备案机关一份，具同等法律效力。
