浅析上市公司资本结构与融资决策
【摘要】上市公司的资本结构对公司治理影响显著。由于我国政策、体制环境的相对特殊性和融资形式的相对多样化,如何选择适合企业的融资模式成为了摆在上市公司面前的一道难题。本文从我国上市公司资本结构的角度对其融资决策的选择作一定的分析和整理,同时通过分析债权融资和股权融资对上市公司治理绩效的影响,进而有针对性地提出了改善资本结构、提高治理绩效的措施,以期为
我国上市公司的健康发展提供帮助。
【abstract】The capital structure of the pany has a significant effects on the corporate to the relative specificity of China's policy and institutional environment plus the relative diversified financing form, how to select the appropriate financing mode of enterprise has bcome a tough problem which the panies are facing. This paper is aimed at analysing and collating the options of financing decisions of China's panies from the capital structure's angle. At the same time it also aims to put forward measures paticularlly to improve the capital structure and the management performance with a view to make contributions to our country's panies' healthy development,which was conveyed via the analysis of the impacts that debt financing and equity financing have on the management performance of panies.

随着我国资本市场的发展和完善,上市公司得到了较快的发展,而且也在国民经济中显示出越来越重要的作用。然而,我国绝大部分上市公司是由国企改制而成,由于改制不彻底,股权结构不合理、一股独大、过高比例的国有股产生所谓的“超强控制”和“超弱控制”等因素已严重制约着上市公司的发展。本文对我国上市公司资本结构对公司治理的影响进行研究,并提出切实可行的对策,以期对提高我国上市公司的治理绩效、完善我国资本市场提供帮助。
