内容摘要
国际金融危机发生后,世界经济面临产业结构的重大调整,跨国并购更加活跃。从我国企业目前的海外并购情况来看,既有不少成功的例子,也有一些失败的例子。本文分析海外并购的原因,揭示了企业在进行海外并购面临机遇和挑战。如何抓住我国企业进行海外并购的机遇,并防范其中的风险。基于此,本文从企业和国家两个层面提出对策:企业要提高其海外并购能力,国家要创造良好的并购环境。通过本文的研究,对提高中国企业海外并购成功率有一定的参考价值。

Abstract
After the international financial crisis, the world economy is facing with the significant adjustment of industrial structure and active transnational M&A. From present circumstances, the overseas acquisitions of Chinese enterprises many essful and failing paper analyses the reasons of acquisitions overseas, and announces the opportunities and challenges of acquisitions to seize the Chinese enterprise of foreign acquisitions opportunities,and to prevent the risks. Based on these, This paper proposes countermeasures from the enterprise and national:Not only enterprise needs to improve its overseas acquisitions ability, but also country needs to create the good M&A environment. The research in this paper has certain reference value for Chinese enterprises to enhance overseas ess rate.

一、中国企业海外并购的原因分析
中国企业的海外并购活动开始于20世纪80年代,最初海外并购活动主要集中在少数有实力的国有企业,海外并购的数量少、规模小,并购地区主要集中在美国、加拿大、印度和香港等地区。20世纪90年代中期以后,我国企业并购的数量及数额都在快速增长,但企业并购结果并不尽如人意。《中国民营企业并购的障碍及出路》指出,国内外并购失败率高达60%以上。中华工商时报于《硝烟弥漫的商业战争》指出,麦肯锡调查显示83%的收购都以失败而告终。《中国企业跨国并购如何稳操胜券》又指出,海外智囊机构对企
