在中国股市上有很多奇怪的现象：比如资产为零，业绩为负，在国外理应破产的上市公司在中国股市上一样有很高的价值：绩差的公司的股价经常会比业绩优良的公司的股票的股价高；上市公司的资产重组经常会出现置入优良资产剥离不良资产，大股东变相往上市公司送钱的情况。如何解释以上种种中国股市特有的情形，这需要从更深的角度认识上市公司壳资源问题。而合理认识和解决中国股市的壳资源问题是解决中国股市种种问题的关键。
一中国股市上的上市公司都有壳资源的价值。

，，难道这不是公司的壳资源的价值吗。如果该股的净资产不是-，一个业绩差的公司都具有壳资源价值，那么一个业绩优良的公司，我们在计算公司的价值的时候，是不是也应该计算其本身的壳资源呢。如果承认这一点，中国股市上市公司市值的计算公式是不是应该这样：上市公司市值=公司净资产+未来预期收益+壳资源。
一个上市公司的壳资源应该是多少呢，如果笔者的估计不错的话，即使是一个绝对空壳的公司，那么它的价值应该在数亿元左右，甚至更多，这从山东三联用三亿元购买ST百文百分之五十的股份就可以看到，也可以从二级市场那些资不低债的上市公司的市值中看到，（有的股价虽然很低，但这不能算是公司的实际价值，因为一旦有公司收购进行重组股价马上大幅上涨，公司的收购成本将是股票最低价的数倍）理解了这点，也许我们就会明白，为什么用友软件
