乙方不得从事对委托生产或检验的产品质量有不利影响的活动，更不能泄露委托方技术秘密、商业秘密，以及其他违反法律、法规和规章的行为。
乙方应当按照本企业的?质量手册??控制程序?等要求进行生产，并按照规定保存所有受托生产文件和记录。
乙方应当确保物料和产品符合相应的质量标准。
乙方保存质量记录不少于产品寿命期后1年，并不少于两年，以备甲方检查。
第四条：甲方责任：
甲方委托生产评估小组将负责对乙方生产过程、检验过程进行监督。
甲方应当使乙方充分了解与产品或操作相关的各种问题，包括产品或操作对受托方的环境、厂房、设备、人员及其他物料或产品可能造成的危害。
甲方应当对乙方进行评估，对乙方的条件、技术水平、质量管理情况进行现场考核，确认其具有完成受托工作的能力，并能保证符合质量体系的要求。
委托生产评估小组每季度对受托方本季度生产的产品及用于生产的物料进行抽检、生产记录和检验记录进行审核。
甲方质管部门应向受托生产厂家索取提取生产记录复印件，严格审查是否按照工艺规程进行生产。
按照采购控制程序，对委托生产的产品进行有效的控制。
第五条：委托生产过程中有不同意见双方车间质检员协商解决，重大歧见及时向甲、乙双方质量负责人报告，甲、乙双方质量负责人应及时协商并在书面报告上签署处理意见及措施。
第六条：乙方有义务接受医疗器械监督管理部门检查、甲方委托生产小组的检查或现场质量审计，由乙方保存的生产、检验和发运记录及样品，批生产记录等原始材料，出现投诉、疑心产品有质量缺陷或召回时，甲方能够随时调阅或检查与评价产品质量相关的记录。
　 第七条 ：效劳条款及价格
