摘要
农村信用社在支持农业、农民和农村经济发展中起着极其重要的作用,是
我国农村金融的主力军。年我国农村信用社进行试点改革,到现在已经经
过了几年的时间,在这几年的发展过程中,取得了一定的成果,但同时还存在
着很多的问题,这些问题的存在严重制约着农村信用社的进一步发展,因此建
立一个科学、有效的法人治理结构对于我省农村信用社效益的提高,促使农村
信用社又好又快发展都起着非常重要的推动作用。
本文在介绍研究背景与意义、国内外研究现状基础上,阐述了我国农村信
用社发展的历史沿革与山西省农村信用社的发展状况,运用自己所学理论与在
农村信用社的实践,剖析了山西省农村信用社内部法人治理存在的:产权关系
不清晰、缺乏长期有效的激励机制与监督机制、“三会”制度权力制衡机制失
效、内部人控制现象严重、信息披露不透明等。外部治理机制存在的:相关法
规不健全;“多头管理”;所处的信用环境差等问题。并提出了解决问题的对
策建议:从内部治理上,应该改善信用社股权结构设置;引进战略投资者、完
善治理结构、合理设计农村信用社薪酬体系、推广独立董事制度、提升监事会
作用以及建立科学的内部控制体系;外部治理上,要转变政府职能、加强相关
法律法规的建设、加速农村信用社高管人员的职业化、改革农村信用社的用人
机制。
总之,本论文对山西省农村信用社法人治理结构的现状及存在的问题进行
了剖析,通过借鉴相关理论,提出了完善我省农村信用社法人治理结构的对策
建议。这对于我省农村经济的发展和农民生活水平的提高,以及社会主义新农
村建设的顺利开展,都具有着非常重要的理论意义。

Abstract
Rural credit cooperatives in support of agriculture, peasants and rural economic development
plays an important role, is the mainstay of rural finance in China. In 2003, China's rural credit
cooperatives reform, a pilot project to now after years of time, in the years of the development
process, and made some achievements, but also has very many problems, these problems constrain
the further development of rural credit cooperatives, thus establishing a scientific and effective
corporate governance structure for our province efficiency of rural credit cooperatives, prompting
rural credit cooperatives, nice and fast development plays a very important role.
