Contract Amendment Agreement
本协议是基于由 *** 融资租赁（中国）有限公司和美国 有限公司作为买卖双方，以上海 ****设备租赁有限公司作为最终用户而签署的买卖合同（合同号码：00-004，签署日期：2010年4月12日。以下简称“原合同“）项下的修改协议。
This amendment is based on the contract （No is 00 3-004 and signed on April 12, 2010） between the following 2 parties: **** Leasing (China) Ltd as buyer; ****** Industries, Inc as seller, which End-User is Shanghai ******Equipment Rental Co, Ltd
经过彼此协商，以上三方同意对原合同第2条和第8条做出如下修改：
By mutual agreement, above-mentioned 3 parties agree with the following amendment to paragraph 2 and 8 of the contract:
a 原合同第2条的修改内容：
Amendment to paragraph 2 of the contract:
2 付款 Pamyment
(1) 货款支付方式：提单日90天后电汇，并按照第2款的规定提供银行担保。
Payment Term: T/T remittance 90 days after B/L date under Bank Guarantee
(2) 担保：买方会经由银行出具有效期到2010年8月31日的不可撤销履约保函,但是卖方须保证产品的质量和数量，否则买方可以不予支付货款。　　　　　　　　　卖方收到买方的货款后，须立即将保函正本退还给买方。
Payment Guarantee: Buyer will issue irrecoverable Banking Performance Bond which will expire on Aug 31, 2010 But the payment may not be preceded unless Seller can guarantee the goods’ quantity and quality Seller has to return the original Performance bond to Buyer as soon as payment confirmed
b 原合同第8条的修改内容:
Amendment to paragraph 8 of the contract:
8．单据
Documents：
卖方须在收到履约保函后立即将下列单据发送给买方。
All the documents mentioned below should be sent to Buyer ASAP upon Seller’s receipt of the Performance Bond
(a) 洁净无疵，注明运费已付及全套已装运的海运提单。
