anythirdPartydesignatedbyPartyAtoholdasperPartyA

Beingastheactualholderoftheshare,PartyAhasthe

IVPartyB’srightsandobligations
PartyBwillnotenjoyanyusufructordisposalright
(includingbutnotlimitedtotransferenceandpledgeof

PartyBshallnottransfertheauthorityofentrustmentto

PartyBisnotpermittedtoimplementanyotherbehaviors

PartyBshalldeliverallofbenefitsgeneratedfromshare-holdingonbehalfofPartyAtoPartyAtimely(,bonusoranyotherbenefitallocations).
PartyBshalltryitsbesttocooperatewithPartyAtotransferallofrelevantproceduresunderitsownname,whenPartyAplanstotransfershare-holdingonbehalfoftheholdertothethirdParty.
VTermofentrustment
ThetermofentrustmentshallbeaperiodstartingfromtheeffectivedateofthisagreementandendingwhenPartyAissuesthewrittenconsenttoPartyBfortermination.
VIAllofagreementsandmodificationforagreementsThisagreementtogetherwithallofthementionedor
explicitlyincludedagreementsand/orallofagreementsreachedbydocumentdraftingpartiesintermsofsubject-mattersofthisagreementshallreplacealloftheoral,writtenagreements,contracts,understandingsandaddressbooksreachedbyallpartiespreviouslywithrespecttosubject-mattersofthisagreement.

Thisagreementisintriplicateandeachpartyholdsone.
ThisagreementwillgointoeffectsincePartyA
representativeaffixesthesignatureandtheofficialsealand

VIIIJurisdictionoflaws
Subscription,effectiveness,implementationand
interpretationofthisagreementtogetherwithsettlementof
disputesisruledoverbyPRClawsanditisinterpretedasper
PRClaws.
IXSettlementofdisputes
Whenallofrelevantpartieshavedisputeswithrespectto
interpretationandimplementationofitemsofthisagreement,

partycansubmittherelevantdisputestoChinaInternational
EconomicandTradeArbitrationCommissiontomakea
