CONFIDENTIALITY AGREEMENT
THIS AGREEMENT is executed at Ä_________ on __ / __ / ____ (dd/mm/yyyy) by the following Parties:
Party A:
Ä[Name of Party A], a [company] established and existing under the laws of the People’s Republic of China with its legal address at _______________.
Party B:
Ä[Name of Party B ], a [company] established and existing under the laws of the People’s Republic of China with its legal address at _______________.
WHEREAS:
Party A and Party B have agreed to cooperate on Ä[describe the cooperation project] (hereafter referred to as the “Project”) and for such purpose intend to hold further negotiations with a view to entering into a formal legally-binding agreement;
Party A possesses certain confidential information relating or relevant to the Project which is mercial value to Party A, and Party A has consistently taken all necessary steps to protect, and prevent unauthorised disclosure of, such information;
Party B may, in the course of negotiating the above-mentioned agreement or in the course of cooperation on the Project, obtain access to confidential information belonging to Party A;
Party B has agreed the following terms in relation to such confidential information.
NOW, THEREFORE, after friendly consultations and proceeding on principles of fairness and equality, the Parties have agreed the following:
