WHEREAS Party A is engaged in manufacturing and selling in China; and
WHEREAS Party B is engaged in manufacturing and selling (hereinafter called “Licensed Product”) and has American patent rights to Licensed Product (hereinafter called “Patents”)and registered Trademark (hereinafter called “Trademark”); and
