我国反垄断立法若干问题及研究.pdf

摘要反垄断法博大精深,它是规范市场行为、维护竞争秩序的基本法,我国虽已陆续制定了一些有关反垄断的法律规范,但至今尚无统一的法典式的反垄断法,这与当前我国市场经济的现状不相适应。随着市场经济的确立,市场主体、经济成份、经济利益已多元化,需要有相应的法律保护所有主体,维护公平竞争。目前我国已具有了制定反垄断法的基础。随着我国加入WTO组织,我国的经济己融入国际经济环境,必须按照国际通行的市场经济规则运作,加之跨国公司的垄断行为也已出现,为维护国家经济安全, 制定我国反垄断法已势在必行。虽近些年来,我国法学界在反垄断法理论研究方面成果颇丰,但在许多问题上仍尚未达成共识,争议较大。本人试图通过介绍西方一些国家的不同立法例,围绕我国反垄断立法关注的几个问题,采用比较分析、历史分析和辩证分析的方法,进行了研究探讨并提出了一些自己的看法、观点,以期有益于我国未来的反垄断立法。本文分为四个部分。第一部分:阐述我国反垄断立法的价值目标,通过从法理角度对法的价值目标的分析,进而提出我国反垄断立法的价值取向;第二部分:概况介绍了砥方几个国家的反垄断立法的垄断控制模式,并提出我国反垄断立法模式应着眼于行为主义,但也不应放弃结构主义;第三部分:指出我国现有的反垄断法律规范存在的不足分析传统反垄断法的规制对象,并结合我国实际,提出未来我国反垄断法应主要规制经济垄断,但也应对行政垄断进行原则性规制;第四部分:就有关反垄断法的适用问题借鉴其他国家的有益经验,在我国反垄断执法机构的设置、职权、程序及适用除外规定等方面提出一些建议,以适应新形势的需要。 Abstract Antimonopoly law is a fundamental 1aw to conform to themarket standard petition of itscodes have been setup, but SO farthere has been no typical antimonopoly 1aw,which does not correspond to our current market econom theestablishment ofmarket economy andmain body ofmarket,elements andbenefitsofeconomy e laws are needed toprotect main body and maintain thepresent,there exists abasis in our country onwhich antimonopoly law iSlaiddown.
