内容摘要
中国企业跨国并购萌芽于20世纪八十年代,当时具有规模小、次数少、目标地区小等特点。但是2000年以来中国企业跨国并购呈现出快速发展的趋势,2011年交易数量207宗,金额达429亿美元,比2000年前有了大幅增长。
本论文叙述了跨国并购的概念,跨国并购的特点,以及中国企业跨国并购的发展历程。阐述了中国企业跨国并购的动因如:获取资源保障,获取先进技术扩大市场规模,境外融资的需要等。重点探讨了中国企业在跨国并购中存的问题:缺乏真正的海外并购战略,缺乏明显的竞争优势,缺乏并购尤其是海外并购经验,现有相关机制不完善企业融资渠道受到限制,企业自身的和整合能力不强等并找出以上问题出现的原因。通过系统的分析找到解决以上问题的策略如:制定明确的海外并购战略,培育企业核心竞争力提高企业自身优势,培养专业的跨国并购能力,提高企业的并购融资能力等来促进我国企业在世界经济贸易中又好又快发展。

Abstract
The seeds of cross-border mergers and acquisitions of Chinese enterprises in the 1980s, when a small scale, the number of small target areas. Of the existing problems of Chinese enterprises in the cross-border mergers and acquisitions: the lack of overseas M & A strategy, the lack of a petitive advantage, the lack of mergers and acquisitions, especially overseas mergers and acquisitions experience, restrictions on relevant existing mechanisms are inadequate financing channels for enterprises, the enterprise's own international strong business strategy decision-making and ability to integrate and find out the reasons for the above problems.
